The terms “we”, “us” and “our” refer to TAION Europe (Kowa Europe GmbH Paris Branch). Language. These Terms are provided in English. A French translation will be made available for convenience; in case of any discrepancy, the English version shall prevail.

However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.
We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase the selected products. Your order will be deemed accepted only when TAION Europe sends you an order confirmation email, at which point a contract is formed between you and TAION Europe.

We reserve the right to refuse or cancel any order for legitimate reasons, including stock unavailability, suspected fraud, or pricing or description errors. If your order is not accepted, modified, or cancelled, we will notify you using the contact details (email, billing address, and/or phone number) provided at the time of order.

You are encouraged to review your order carefully before confirming your purchase. Once the order is confirmed, we may not be able to modify or cancel it except as permitted under EU consumer law.

Under EU consumer protection law, you have the right to withdraw from your purchase within 14 days from the date you receive your order, without giving any reason. For more information on how to exercise this right, please refer to our Refund Policy.

The right of withdrawal applies only to items that are returned unused, unwashed, with all original tags and packaging intact. TAION Europe reserves the right to refuse returns that show signs of wear, damage, or alteration.

You represent and warrant that your purchases are for your personal and household use only, and not for resale or export.

SECTION 4 - PRICES AND BILLING

All prices displayed on our online store are shown in euros (EUR) and include VAT (where applicable) in accordance with EU law. Shipping fees will be calculated and displayed at checkout based on the delivery address.

Prices, discounts, and promotions are subject to change without prior notice. The price charged for a product will be the price in effect at the time your order is placed and will be confirmed in your order confirmation email.

Prices shown on our website may differ from those offered in physical retail stores or by third-party retailers. From time to time, TAION Europe may offer special promotions or discounts governed by separate terms and conditions. In the event of any inconsistency between such promotion terms and these Terms of Service, the promotion terms shall prevail.
You agree to provide current, complete, and accurate purchase, payment, and account information for all transactions made in our store. You must promptly update your account details, including your email address and payment information, to ensure the successful processing of your orders and communication from us.

You represent and warrant that:
(i) the payment information you provide is true, correct, and complete;
(ii) you are duly authorized to use the selected payment method;
(iii) charges incurred by you will be honored by your payment provider; and
(iv) you will pay all applicable charges, including shipping fees and VAT, as displayed at checkout.

SECTION 5 - SHIPPING AND DELIVERY
We aim to dispatch all orders promptly. Delivery times provided on our website or in communications are estimates only and are not guaranteed. While TAION Europe will make reasonable efforts to deliver your order within the indicated timeframe, we are not liable for delays caused by shipping carriers, customs processing, strikes, weather conditions, or other events beyond our reasonable control.

Ownership and risk of loss for products purchased will pass to you only when you (or a person designated by you) physically receive the goods, in accordance with EU consumer law. Until that time, TAION Europe remains responsible for the condition of the goods during shipment.

SECTION 6 - INTELLECTUAL PROPERTY
All content and materials made available through the Services, including but not limited to trademarks, brand names, text, images, graphics, product descriptions, reviews, videos, and audio, as well as the overall design, layout, and arrangement thereof, are the exclusive property of TAION Europe, its affiliates, or its licensors, and are protected by applicable European Union and international intellectual property laws, including copyright and trademark laws.
You may access and use the Services solely for your personal and non-commercial purposes.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
This online store is powered by Shopify, a third-party e-commerce platform that provides the technical infrastructure to operate our Services.
However, all sales, purchases, and contractual relationships formed through this website are made directly between you and TAION Europe (Kowa Europe GmbH Paris Branch).

By using the Services, you acknowledge and agree that Shopify Inc. and its affiliates act solely as a technical service provider and are not a party to any sale, contract, or transaction between you and TAION Europe. Shopify is therefore not responsible for any product quality, delivery, warranty, or liability related to your purchases.
You expressly release Shopify Inc., its affiliates, officers, employees, and agents from any claims, damages, or liabilities arising out of or in connection with your transactions with TAION Europe.

TAION Europe reserves the right to correct any such errors, inaccuracies, or omissions, and to update or amend information at any time without prior notice.
If an error affects an order you have already placed, we will contact you as soon as reasonably possible to inform you of the issue and to offer either:

In addition, you must not:
(a) upload, distribute, or transmit any viruses, malware, or other malicious code;
(b) reproduce, duplicate, copy, sell, resell, or exploit any part of the Services without our prior written consent;
(c) collect, harvest, or otherwise process personal data of other users in violation of the General Data Protection Regulation (GDPR);

If any orders have been confirmed but not yet dispatched at the time of termination, TAION Europe will either fulfill or refund them in accordance with applicable consumer law.

The following sections shall continue to apply after termination: Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions which by their nature should survive termination.

While TAION Europe strives to ensure that the content, product descriptions, and other materials displayed on the website are accurate and up to date, we make no representation or warranty as to their absolute accuracy, completeness, or reliability. SECTION 16 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, TAION Europe (Kowa Europe GmbH Paris Branch), its partners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors, as well as Shopify Inc. and its affiliates, shall not be liable for:
any indirect, incidental, consequential, or special damages of any kind, including but not limited to loss of profits, revenue, savings, data, or business opportunities, arising from or related to your use of the Services or any products purchased through the Services.

Nothing in these Terms shall exclude or limit liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation;
breach of statutory consumer rights; or
any other liability that cannot lawfully be excluded or limited under EU or national law.

Except as expressly required by law, TAION Europe’s total aggregate liability for any claim arising out of or relating to your use of the Services or any purchase shall be limited to the total amount you paid for the relevant product or order giving rise to the claim.

We will not agree to any settlement that imposes non-monetary obligations on you without your prior consent (not to be unreasonably withheld).

If any provision of these Terms of Service is found to be invalid, unlawful, or unenforceable by a competent court or authority, such provision shall be applied and enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

Where a provision is deemed invalid or unenforceable, it shall not affect the validity or enforceability of the remaining Terms, nor shall it result in any reduction of your statutory consumer rights under applicable law.

The failure of TAION Europe to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall any single or partial exercise of any right preclude any further exercise of that right or any other right.
These Terms of Service, together with any other policies or legal notices posted on our website (including the Privacy Policy and Refund Policy), constitute the entire agreement between you and TAION Europe in relation to your use of the Services, and supersede any prior agreements, communications, or understandings, whether written or oral, relating to the same subject matter.

Nothing in this section limits or excludes your statutory rights as a consumer under applicable law.In the event of any ambiguity or inconsistency, these Terms shall be interpreted in accordance with applicable consumer protection law and in a manner most favorable to the consumer.

SECTION 20 - ASSIGNMENT
You may not delegate, transfer, or assign these Terms of Service or any of your rights or obligations under them without the prior written consent of TAION Europe, and any attempt to do so without such consent shall be null and void.
TAION Europe may transfer or assign its rights and obligations under these Terms to another entity, provided that such transfer does not reduce your rights or protections as a consumer under applicable law.
In such a case, you will be notified of the transfer, and the new entity will assume all obligations and responsibilities previously held by TAION Europe under these Terms.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

If you are a consumer residing in the European Union, you will also benefit from any mandatory provisions of the law of your country of residence.

Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Paris, France.
